Agreement to terms

By using the Nika Books and Ledgers website, client portal, or any of our services, you agree to these terms. If you do not agree, please do not use our services. We may update these terms from time to time — continued use after changes constitutes acceptance.

Services we provide

Nika Books and Ledgers provides bookkeeping, tax preparation, payroll, and related accounting services for Ontario small businesses. The specific services we provide to you are outlined in the engagement letter we send before any work begins.

We are not a law firm and do not provide legal advice. Any information we share about tax law, CRA requirements, or corporate regulations is general guidance — not a substitute for professional legal counsel.

Your responsibilities

To provide our services effectively, you agree to:

  • Provide accurate, complete, and timely financial information and documents.
  • Respond to our requests for information within a reasonable timeframe.
  • Review the work product we deliver — including financial statements, tax returns, and filings — and notify us of any errors or concerns promptly.
  • Keep your contact information current in our portal.
  • Not share your portal access credentials with unauthorized parties.

You are ultimately responsible for the accuracy and completeness of the information you provide. Our work product is based on the records and explanations you give us.

Engagement and fees

Each client relationship is governed by a separate engagement letter that specifies the scope of services, fees, and payment terms. These terms of service apply alongside — not in place of — your engagement letter.

If there is a conflict between these terms and your engagement letter, the engagement letter prevails for matters related to scope and fees.

Client portal

Our client portal is provided for your convenience to upload documents, complete onboarding questionnaires, and communicate with our team. You agree to:

  • Use the portal only for its intended purpose.
  • Not upload malicious files, scripts, or content designed to disrupt the portal or our systems.
  • Not attempt to access other clients' data or any administrative areas you are not authorized to use.

We may suspend or restrict portal access if we believe it is being misused or if your account security is compromised.

Confidentiality

We treat all client information as confidential. We will not disclose your financial information, business details, or personal data to any third party except:

  • As necessary to provide the services you engaged us for (e.g., filing with CRA on your behalf).
  • As required by law, regulation, or professional standards.
  • With your explicit written consent.

Our privacy policy provides additional detail on how we collect, use, and protect your personal information.

Limitation of liability

Our services are provided with reasonable professional care and in accordance with CPA professional standards. However:

  • We are not liable for losses arising from information you provided that was inaccurate, incomplete, or late.
  • We are not liable for CRA penalties or interest resulting from your failure to provide documents or respond to our requests in a timely manner.
  • Our total liability for any claim related to our services is limited to the fees you paid us for the specific service in question.

This limitation does not apply to losses caused by our gross negligence or willful misconduct.

Termination

Either party may terminate the engagement by providing written notice (email is sufficient). Upon termination:

  • You are responsible for fees for services already rendered.
  • We will return your original documents and provide reasonable access to work product we have prepared.
  • We will retain copies of your files as required by CPA professional standards and CRA record-keeping rules (see our privacy policy for retention periods).

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these terms or our services will be resolved in the courts of Ontario.
